1. Acceptance of Terms
Welcome to IT Following ("Company", "we", "us", or "our"). By accessing our website, purchasing our services, signing a Statement of Work (SOW), or engaging with our digital platforms, you ("Client", "User", "you") explicitly agree to comply with and be bound by these Terms and Conditions.
If you represent an entity or organization, you warrant that you possess the legal authority to bind such entity to these terms. If you do not agree with any part of these conditions, you must refrain from utilizing our services.
2. Service-Specific Use Policies
IT Following delivers tailored digital services under distinct operational protocols. Below are specific policies governing our primary service vectors:
Graphic & UI/UX Design
Design projects include specified revision cycles (typically 2-3 iterations per milestone). Scope expansions or full visual redesigns beyond initial briefs are subject to additional billable hours.
Website Development
Source code and CMS environments are developed according to signed specifications. Post-launch bug fixes are covered under a 30-day warranty, after which ongoing maintenance SLAs apply.
Social Media Management
Campaign performance metrics depend on platform algorithms and ad spend budgets. Third-party ad spend is directly billed to client accounts unless explicitly bundled into managed retainers.
IT Consulting & Infrastructure
Server architecture, cloud provisioning, and infrastructure audits require complete systems access. Clients maintain backup redundancies prior to cloud migration projects.
3. Intellectual Property Rights
Ownership of final deliverables transfers to the Client only upon full receipt of cleared funds specified in the applicable billing agreement:
- Client Ownership: Upon final settlement, the Client owns final approved graphic assets, custom website code, and tailored branding materials created specifically for the project.
- Pre-Existing IP & Frameworks: IT Following retains ownership over proprietary tools, starter frameworks, open-source libraries, and reusable scripts used during project assembly.
- Portfolio Rights: Unless restricted by a signed Non-Disclosure Agreement (NDA), IT Following reserves the right to showcase completed non-confidential deliverables in company portfolios and case studies.
4. Client Obligations & Timelines
Project success relies upon timely collaboration. Clients agree to fulfill the following obligations:
- Provide accurate project assets, text copy, brand guidelines, and credentials within agreed project timelines.
- Assign a designated primary point of contact for feedback and sign-offs.
- Project delays resulting from uncommunicative feedback exceeding 14 calendar days may lead to project rescheduling or milestone adjustments.
Note on Communications: All formal requests, scope revisions, and sign-offs must be submitted in writing via official company email or our project portal to be recognized legally.
5. Payment Terms & Billing
Services are billed on a fixed-price milestone basis, monthly retainer, or hourly rate as outlined in your invoice or project contract:
- Milestone projects require an upfront deposit (typically 30% - 50%) before work initiation.
- Invoices are payable within 7 to 14 days of issuance. Late payments incur a fee of 1.5% per month on outstanding balances.
- Third-party fees (hosting providers, domain registrars, premium plugins, ad platforms) are non-refundable and separate from IT Following service fees.
6. Limitation of Liability
To the maximum extent permitted by law, IT Following shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, revenue, or business interruption arising out of service usage or third-party server downtimes.
In any event, IT Following’s maximum total cumulative liability shall not exceed the total fees paid by the Client to IT Following for the specific project segment giving rise to the claim during the prior 3-month period.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IT Following operates. Any disputes arising from these Terms or services rendered shall first be addressed through good-faith informal negotiations, followed by binding arbitration or court proceedings in designated corporate jurisdiction.
